Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Zentra Wallet mobile application and related services (the “Service”) provided by Derry Global Multipurpose Limited (“Zentra”, “we”, “us”). By creating an account or using the Service, you agree to these Terms.
1. Eligibility
You must be at least 18 years old, resident in a jurisdiction we serve, and able to form a legally binding contract to use the Service. By using Zentra Wallet, you represent that you meet these requirements and that the information you provide is accurate and complete.
2. Your Account
- You register with a valid phone number verified by one-time password and complete BVN verification where required.
- You are responsible for keeping your transaction PIN and device secure. You agree not to share your PIN or allow others to access your account.
- You must notify us immediately of any unauthorized use of your account or suspected security breach.
3. Wallet & Services
- The Service lets you fund a digital wallet, receive money to a dedicated account (NUBAN), send money, withdraw to a bank, pay merchants by QR, buy airtime and data, pay bills, transact in crypto, and use card features.
- Funding, settlement, bill payments, airtime/data, crypto, and card services are processed by licensed third-party partners. We are not responsible for delays or failures caused by those partners, your bank, or your card issuer.
- Transactions confirmed with your PIN or biometrics are deemed authorized by you. Once a payment, transfer, or purchase is completed, it generally cannot be reversed.
- You are responsible for entering the correct recipient, biller, and amount. We are not liable for payments made to an incorrect recipient due to your error.
4. Merchant Services
If you use Zentra for business, you must complete business verification (KYB) and provide accurate information. You are responsible for the goods and services you sell, the invoices you issue, and compliance with applicable laws. Settlements are paid to your verified account subject to our review and applicable holds.
5. Fees
Applicable fees, if any, are disclosed in the app before you complete a transaction. We may change our fees by posting updated terms or in-app notices.
6. Prohibited Use
You agree not to use the Service to:
- Engage in fraud, money laundering, or financing of illegal activity.
- Violate any applicable law, regulation, or third-party right.
- Circumvent security, access controls, or transaction limits.
- Interfere with, disrupt, or attempt to gain unauthorized access to the Service.
We may suspend or terminate accounts that violate these Terms or that we reasonably suspect of fraudulent or unlawful activity.
7. Suspension & Termination
We may suspend or close your account, with or without notice, where required by law, to prevent fraud, or for breach of these Terms. You may close your account at any time, subject to settlement of any pending transactions and applicable legal retention periods.
8. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, to the maximum extent permitted by law. We do not guarantee that the Service will be uninterrupted, error-free, or secure at all times.
9. Limitation of Liability
To the maximum extent permitted by law, Zentra shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or data, arising from your use of the Service.
10. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to its conflict of laws principles. Any disputes shall be subject to the exclusive jurisdiction of the courts located in that jurisdiction.
11. Changes to These Terms
We may update these Terms from time to time. We will post the revised version with a new effective date and, where appropriate, notify you in the app. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
